Welcome to Polymathics.ai. These Terms of Service ("Terms") govern your access to and use of the Polymathics.ai website, platform, and services (collectively, the "Services") operated by Polymathics.ai, a division of Direct Digital Manufacturing Services, LLC, located in Minneapolis, Minnesota ("Polymathics.ai," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and Polymathics.ai.

1. Description of Services

Polymathics.ai operates a platform that connects businesses seeking artificial intelligence ("AI") expertise ("Clients") with qualified AI professionals ("Experts"). Our Services include:

  • Facilitating introductions between Clients and Experts
  • Providing project management and collaboration tools
  • Processing payments between Clients and Experts
  • Offering AI consulting and advisory services
  • Providing access to AI tools and resources

Polymathics.ai acts as an intermediary between Clients and Experts. We do not employ Experts, and Experts are independent contractors, not employees of Polymathics.ai.

2. Account Registration

To access certain features of our Services, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

You must be at least 18 years old and have the legal capacity to enter into contracts to create an account.

3. Expert Services

If you apply to and are accepted as an Expert on our platform, you agree to:

  • Provide accurate information about your qualifications and experience
  • Maintain professional standards and deliver quality work
  • Comply with all applicable laws and regulations
  • Communicate professionally and promptly with Clients
  • Meet project deadlines and milestones
  • Transfer ownership of work product as agreed with the Client
  • Maintain confidentiality of Client information

Experts are responsible for their own taxes, insurance, and legal compliance. Polymathics.ai takes a platform fee as disclosed at the time of engagement.

4. Client Services

As a Client using our platform, you agree to:

  • Provide clear project requirements and expectations
  • Pay all fees according to the agreed terms
  • Treat Experts with respect and professionalism
  • Provide timely feedback and approvals
  • Ensure you have authority to share any materials provided to Experts
  • Not use the platform to solicit Experts for off-platform work

Clients retain ownership of their pre-existing intellectual property and data. Work product ownership is determined by the individual engagement agreement.

5. Payment Terms

We offer multiple payment models:

  • Hourly: Billed weekly based on logged time
  • Fixed Price: Milestone-based payments as agreed
  • Results-Only: Percentage of measurable savings or outcomes

All payments are processed through our secure payment system. Clients authorize Polymathics.ai to collect payments on behalf of Experts. We retain a platform fee from each transaction. Refunds are subject to our Refund Policy.

Chargeback Policy

No Chargebacks Accepted. We do not accept credit card chargebacks. By submitting payment, you acknowledge that all charges are valid and non-refundable except as provided in our Refund Policy.

In the event of a chargeback, you agree to pay a processing fee of $250.00 plus 25% of the chargeback amount, which shall be deemed an earned fee for our services. Chargebacks may result in immediate account suspension and termination of services.

6. Intellectual Property

Platform IP: Polymathics.ai retains all rights to the platform, including our website, logo, trademarks, and proprietary technology.

Client IP: Clients retain ownership of their pre-existing intellectual property and data provided to Experts.

Work Product: Unless otherwise agreed in writing, work product created by Experts under an engagement becomes the property of the Client upon full payment.

Expert Portfolio Rights: Experts may display non-confidential work in their portfolio for promotional purposes.

Background IP vs. Foreground IP

For clarity in engagements involving proprietary methodologies, Polymathics.ai distinguishes between:

Background IP (Polymathic IP)

Polymathics.ai retains all rights to its Background IP, which includes our proprietary mathematical frameworks, algorithms, code libraries, methodologies, tools, and technical know-how developed prior to or independently of any Client engagement ("Polymathic IP"). Clients are granted a limited, non-exclusive, non-transferable license to use Background IP solely as necessary to utilize the deliverables provided under the engagement agreement. Background IP remains the exclusive property of Polymathics.ai and may not be reverse-engineered, decompiled, or used to create derivative works without our prior written consent.

Foreground IP (Project Deliverables)

Foreground IP refers to any intellectual property, deliverables, work product, inventions, or innovations created specifically for the Client within the scope of an engagement ("Project Deliverables"). Unless otherwise specified in the engagement agreement, Foreground IP transfers to the Client upon full payment, subject to any Background IP incorporated therein.

Key Point: Any reuse of Polymathic methodologies, frameworks, or proprietary techniques by the Client for purposes beyond the original engagement requires a separate licensing agreement with Polymathics.ai.

7. Confidentiality

All parties agree to maintain the confidentiality of proprietary information disclosed during engagements. Confidential information includes:

  • Trade secrets, business plans, and financial information
  • Technical data, algorithms, and source code
  • Customer lists and marketing strategies
  • Any information marked as confidential

Confidentiality obligations survive termination of these Terms for a period of three (3) years.

R&D Tax Compliance

Client agrees that Polymathics.ai may use anonymized metadata and computational logs for the purpose of internal R&D tax compliance and technical auditing, provided that:

  • No proprietary data, trade secrets, or Client-specific confidential information is disclosed
  • All data is aggregated and anonymized to prevent identification of specific projects or Clients
  • Such data is used solely for internal tax compliance reporting, R&D credit calculations, and technical performance auditing

This provision does not grant Polymathics.ai any additional rights to use Client intellectual property beyond what is necessary for these compliance purposes.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

POLYMATHICS.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO POLYMATHICS.AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Force Majeure

Polymathics.ai shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to:

  • Natural disasters, acts of God, or severe weather events
  • War, terrorism, civil unrest, or government actions
  • Global compute outages, cloud infrastructure failures, or third-party service provider interruptions
  • Cyberattacks, distributed denial-of-service (DDoS) attacks, or security breaches
  • Power failures, internet service provider disruptions, or telecommunications failures
  • Pandemics, epidemics, or public health emergencies

In the event of a Force Majeure occurrence, Polymathics.ai will resume performance as soon as reasonably practicable once the event has been resolved.

9. Indemnification

You agree to indemnify, defend, and hold harmless Polymathics.ai, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms
  • Your misuse of the Services
  • Your engagement with Experts or Clients
  • Your violation of any rights of a third party

10. Termination

By You: You may terminate your account at any time by contacting us or through your account settings.

By Polymathics.ai: We may suspend or terminate your account if you violate these Terms or engage in prohibited activities.

Effect of Termination: Upon termination, your right to use the Services ceases immediately. Payment obligations for completed work remain in effect. Sections 5, 6, 7, 8, 9, 11, and 12 survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, United States of America, without regard to its conflict of law provisions.

Exclusive Jurisdiction: Exclusive jurisdiction for any legal action arising from or related to these Terms shall be in the state and federal courts located in Hennepin County, Minnesota. Both parties hereby consent to the personal jurisdiction of such courts.

Polymathics.ai is a division of Direct Digital Manufacturing Services, LLC, a company organized under the laws of the State of Minnesota, with its principal place of business in Minneapolis, Minnesota.

12. Dispute Resolution

Arbitration: Any dispute arising from these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association in Minneapolis, Minnesota.

Small Claims: Claims under $5,000 may be brought in small claims court in Hennepin County, Minnesota.

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions or class arbitrations.

Exception: We may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property rights.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date.

Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to changes, you must discontinue use of the Services.
